Are you ready to work on high-profile IPOs and M&A transactions in a dynamic, client-focused environment? Our ECM team supports companies in achieving their growth ambitions through public markets in the UK and overseas, as well as other public company transactions in high profile projects, providing due diligence and company-side support services. We work across a range of projects and industries, with a highly commercial and client-focused environment. Additionally, each of our teams works with the FDD industry teams on acquisition and vendor due diligence as well as with the wider M&A team.
Our core services are financial due diligence or company-side support for ECM transactions and M&A transactions. Typically, we work alongside senior members of management teams and their external advisors: investment banks, lawyers and independent financial advisors. We often work on cross-border engagements as well as with cross-service line teams within Deloitte (industry specialists, debt advisors, tax, post-merger integration, synergies, as well as others) requiring our people to build wide networks across M&A in the UK and our global member firms.

Responsibilities:
- Develop an understanding of the target business and its drivers
- Interpretation and analysis of financial models, information memoranda, business plans, publicly available information on the target business
- Review and analysis of historical trading, cash flow and balance sheets
- Review and analysis of projections, underlying assumptions, financing
- Review of the adequacy of working capital facilities, including consideration of financing limits, terms and covenants
- Reporting of potential key issues for our client including identification of risk and sensitivity
- Manage day-to-day execution of projects including co-ordination of take on procedures, regulatory requirements and deliverables
- Develop an understanding of the rules for listing and the contents of prospectuses
- Review of prospectuses and correlating findings of due diligence process therein
- Work effectively in diverse teams within an inclusive team culture where people are recognised for their contribution

Essentials:
- An ACA/CIMA/CFA qualification or equivalent
- Minimum 2.1 undergraduate degree and 7-9 Maths at GCSE (and/or A-B at A Levels Maths) (or equivalent)
- High level report writing and reviewing skills, with an appropriate focus on attention to detail, conciseness and risk management
- Excellent numeracy, analytical and problem-solving skills with keen attention to detail and the ability to absorb and analyse large amounts of data quickly, including strong excel skills
- Enthusiasm to be involved and to learn in high value and often high-profile public company ECM/M&A work
- Excellent communication and presentation skills
- Strong commercial acumen and market awareness
- Strong client focus - be focused on high-quality service
- Proficiency with AI tools
Desirables:
- Business modelling experience
- Exposure to financial due diligence and/or transaction services
- Knowledge of the FCA Listing Rules and/or the Prospectus Regulation Rules would be an advantage
